By accessing or using MDX Space ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By creating an account or using MDX Space in any way, you confirm that you are at least 16 years old and have the legal capacity to enter into a binding agreement.

2. Description of Service

MDX Space is a project management and collaboration platform designed for agencies and creative teams. The Service includes:

• Project creation and management tools
• Task tracking and assignment features
• Team collaboration and communication tools
• File storage and management
• Billing and invoicing capabilities
• Client portal and approval workflows

We reserve the right to modify or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. User Accounts

When you create an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with prior notice where reasonably possible.

4. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of MDX Space and its licensors. The Service is protected by copyright, trademark, and other laws.

Your Content: You retain all rights to the content you upload or create within the Service. By uploading content, you grant MDX Space a limited, non-exclusive license to host and display that content for the purpose of providing the Service to you.

You may not use our trademarks, logos, or trade dress without our prior written consent.

5. Limitation of Liability

To the maximum extent permitted by applicable law, MDX Space and its affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

• Loss of profits, data, or business opportunities
• Service interruptions or downtime
• Unauthorized access to or alteration of your data
• Any other matter relating to the Service

Our total cumulative liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

6. Termination

You may terminate your account at any time by contacting us at hello@mdx.so or through your account settings. Upon termination:

• Your right to use the Service will immediately cease
• We will retain your data for 30 days before permanent deletion, during which you may request an export
• Any outstanding payments remain due

We may terminate or suspend your access immediately, without prior notice or liability, if you breach these Terms.

7. Governing Law

These Terms shall be governed and construed in accordance with applicable laws, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
